Formation Metals Announces Closing of Upsized $22.4 Million Non-Brokered Private Placement to Increase Drill Program to 75,000 Metres
Closed an upsized non-brokered private placement for aggregate gross proceeds of approximately $22.4 million through the issuance of 49,821,291 units across two tranches. Working capital is now ~$31M with zero debt. The Company intends to expand its on-going drill program to 75,000 metres at the flagship N2 Gold Project.

$22M upsize of the non-brokered private placement, driven by strong investor demand with the order book remaining oversubscribed. Upon closing, the Company intends to increase its 2026-2027 drill program to a fully funded 75,000 metres at the flagship N2 Gold Project.

$15M non-brokered private placement now fully allocated. Strong investor response. Capital will fund the upsize of the 2026 drill program at N2 to 50,000 metres. Expected close in the coming weeks, subject to customary closing conditions.
Formation Metals Announces Non-Brokered Offering of up to $15 Million to Increase 2026 Drill Program to 50,000 Metres
Up to $15M non-brokered private placement (HD, FT, Charity FT, Quebec Charity FT units). Upon closing, the Company intends to increase its 2026 drill program to a fully funded 50,000 metres at the flagship N2 Gold Project. Expected to close on or about May 13, 2026.

New Phase 1 drill results at the N2 Gold Project trace mineralization across 300 metres of strike on the A-Zone. N2-25-006 returned 1.8 g/t Au over 21.9 m; N2-25-009 returned 1.37 g/t Au over 24.0 m; N2-25-004 returned 0.83 g/t Au over 40.4 m.
